Parece seguir existiendo cierta confusi\u00f3n alrededor de estos dos t\u00e9rminos y pensamos que era mejor subrayar las diferencias y la importancia de que dichos t\u00e9rminos no sean intercambiados. Durante una transacci\u00f3n de consignaci\u00f3n, el consignatario (<em>destinatario<\/em>) no toma el t\u00edtulo del producto, mientras que una transacci\u00f3n de precio despu\u00e9s de la venta, el consignatario toma el t\u00edtulo del producto. En el caso de una controversia, existen diferentes requisitos y cargas probatorias para ambos tipos de transacci\u00f3n.<\/p>\n<p><strong>Consignaciones<\/strong>:<\/p>\n<p>Lo primero a destacar respecto a una consignaci\u00f3n es que el consignatario no es due\u00f1o del producto. Es propiedad del consignador (<em>expedidor o remitente<\/em>) hasta que se venda, y en ese momento la propiedad es transferida desde el consignador al comprador. El papel del consignatario es vender el producto al mejor precio disponible en el mercado, menos los gastos que han sido acordados. Es la responsabilidad del consignatario presentar una cuenta detallada de las ventas. La cuenta de ventas debe indicar precio, cantidad y fecha de venta para cada producto que est\u00e9 a su cargo, menos los gastos usuales y acostumbrados tales como fletes, tarifas de almacenamiento, una comisi\u00f3n y otros gastos o tarifas convenidas por las cu\u00e1les haya pagado el consignatario. Un consignatario siempre tiene derecho a una comisi\u00f3n en consignaci\u00f3n que normalmente cae en el rango de 8% a 15%, pero esta debe establecerse por escrito.<\/p>\n<p>Cuando una carga est\u00e1 en consignaci\u00f3n, no hay ning\u00fan requisito de que el consignatario solicite una inspecci\u00f3n federal para demostrar que el producto est\u00e1 en buenas o malas condiciones. La \u00fanica vez que un consignatario est\u00e1 obligado a solicitar una inspecci\u00f3n federal es cuando m\u00e1s de 5% de la carga es desechada. La inspecci\u00f3n requerida en este caso es una inspecci\u00f3n de condici\u00f3n para demostrar que el producto que est\u00e1 siendo desechado no tiene ning\u00fan valor comercial. Esto no significa un certificado de desecho donde el inspector haya sido testigo del vertimiento del producto; el certificado de desecho no es suficiente para demostrar que el producto no ten\u00eda ning\u00fan valor comercial.<\/p>\n<p><strong>La transacci\u00f3n de consignaci\u00f3n se basa en la confianza entre el consignador y el consignatario (destinatario). El consignador se limita a reclamar contra el consignatario en base a la cuenta detallada de las ventas, no en base a la condici\u00f3n o calidad del producto a no ser que m\u00e1s de un 5% de la carga haya sido desechada.<\/strong><\/p>\n<p>El destinatario no est\u00e1 obligado a vender el producto a precios de mercado, s\u00f3lo obligado a hacer lo mejor para vender al mejor precio posible. <em>Market News<\/em> o <em>InfoHort<\/em> NO son un punto de referencia para las ventas en el caso de una transacci\u00f3n de consignaci\u00f3n a menos que las partes indiquen por escrito un precio m\u00ednimo garantizado o una referencia espec\u00edfica a <em>Market News<\/em> o <em>InfoHort<\/em> en su acuerdo por escrito.<\/p>\n<p>En una transacci\u00f3n de consignaci\u00f3n usted est\u00e1 obligado como consignatario a mover r\u00e1pidamente el producto y vender al mejor precio posible en forma adecuada y oportuna. En una consignaci\u00f3n usted debe dar prioridad a ese producto. Es importante tener en cuenta que cuando usted ha acordado vender en consignaci\u00f3n, usted no puede revender en consignaci\u00f3n. A menos que se acuerde por escrito, un consignatario tampoco puede vender a una compa\u00f1\u00eda hermana o a compa\u00f1\u00edas que est\u00e9n relacionadas con el consignatario.<\/p>\n<p><strong>Precio Despu\u00e9s de la venta (PAS)<\/strong>:<\/p>\n<p>El Precio Despu\u00e9s de la Venta (PAS \u2013 <em>por sus siglas en ingl\u00e9s<\/em>) es una venta donde no se ha pactado ning\u00fan precio y a veces tambi\u00e9n se conoce como venta de precio de apertura o venta abierta. En el caso de PAS, el comprador, despu\u00e9s de vendido el producto, ofrece un retorno al vendedor. Si el vendedor no est\u00e1 de acuerdo con el r\u00e9dito presentado, el comprador tiene la obligaci\u00f3n de demostrar por qu\u00e9 est\u00e1n dando tal r\u00e9dito. Una cuenta de ventas mostrando una reventa inmediata y adecuada es normalmente el m\u00e9todo m\u00e1s com\u00fan para mostrar c\u00f3mo el comprador alcanz\u00f3 el r\u00e9dito ofrecido. Sin embargo, no es necesario una cuenta de ventas. Si el r\u00e9dito no alcanza al menos los precios de mercado, es responsabilidad del comprador el demostrar por qu\u00e9 no fueron capaces de vender el producto a precios de mercado.\u00a0 Si se presenta una cuenta de ventas, esta necesita incluir los mismos elementos de una cuenta detallada de ventas como se indica en una transacci\u00f3n de consignaci\u00f3n, salvo que no est\u00e1 generalmente permitida una comisi\u00f3n a no ser que as\u00ed se acordara.\u00a0 <strong>Si no hay da\u00f1os al producto y el producto fue recibido en buenas condiciones, la expectativa es que el producto se vender\u00e1 a los precios vigentes de mercado o cerca de ellos.<\/strong> Durante una transacci\u00f3n de PAS, cuando el comprador recibe el producto y hay da\u00f1os, el comprador est\u00e1 obligado a solicitar una inspecci\u00f3n federal para demostrar que la carga falla o cumple con las Directrices de Buena Llegada de la DRC. [INSERT LINK]<\/p>\n<p><strong>Corrigiendo t\u00e9rminos intercambiados en una factura:<\/strong><\/p>\n<p>La Consignaci\u00f3n y el Precio Despu\u00e9s de la Venta (PAS \u2013 <em>por sus siglas en ingl\u00e9s<\/em>) son dos t\u00e9rminos que no deben ser intercambiados. Si usted recibe una factura que equivocadamente intercambia los dos t\u00e9rminos, aseg\u00farese de contactar a la otra parte para que se corrija. En el caso de una transacci\u00f3n de consignaci\u00f3n, y de existir un problema respecto a este t\u00e9rmino, se debe demostrar que dicho t\u00e9rmino fue discutido, entendido y acordado (preferiblemente por escrito). Las Directrices de Buena Llegada de la DRC indican que en ausencia de un acuerdo sobre los t\u00e9rminos de la transacci\u00f3n, lo que se aplicar\u00eda por defecto ser\u00edan las Directrices de Buena Llegada FOB sin Clasificaci\u00f3n.
